SolvedBy.Ai Documentation Access Terms & Conditions

Why do we ask you to accept terms before accessing the API and UI documentation?
We ask partners to accept simple terms so we can share documentation openly and confidently while protecting both sides. The terms do two main things:

1. They prevent the documentation (including UI wireframes and implementation patterns) from being republished or reused by competitors, and
2. They set clear expectations that the documentation is guidance—so SolvedBy.AI isn’t exposed to claims for loss of earnings or business outcomes resulting from how someone chooses to implement or rely on it.

This approach lets us provide more self‑serve content (including reference UI journeys used in other workforce management platforms and proven with end users) while keeping sharing fair and responsible.

1. Acceptance

By clicking “I agree” (or by accessing/downloading the Documentation), you confirm that you have read and agree to these Documentation Access Terms on behalf of yourself and, if applicable, the company you represent (“you”).

If you do not agree, please do not access or download the Documentation.

2. Purpose and permitted use

We provide the Documentation to help you evaluate and/or integrate SolvedBy.AI’s services into your own software product.

You may use the Documentation internally within your organisation for:

  • technical evaluation and feasibility assessment,
  • implementation planning,
  • building an integration to SolvedBy.AI services,
  • training your internal teams on how the integration works.

3. Licence

SolvedBy.AI grants you a limited, non-exclusive, non-transferable, revocable licence to use the Documentation solely for the permitted purposes above.

This is a licence, not a sale. All rights not expressly granted are reserved by SolvedBy.AI.

4. Confidentiality and non‑redistribution

The Documentation is intended for partner evaluation and integration and should be treated as confidential.

You agree that you will not:

  • publish, post, or otherwise make the Documentation publicly available (including in public repos, forums, or social media),
  • share the Documentation outside your organisation except as allowed below,
  • share the Documentation with any competitor building or offering AI engines via API (or a substantially similar service).

Permitted sharing: You may share the Documentation with your employees and contractors who have a legitimate need to know for the permitted purposes, provided they are bound by confidentiality obligations at least as protective as these terms.

5. No competitive use

You agree not to use the Documentation to:

  • build, train, or offer a competing product or service that provides forecasting and/or decision/optimisation engines via API (or a substantially similar service), or
  • benchmark for the purpose of publishing competitive marketing materials without our prior written consent.

(You are still free to evaluate SolvedBy.AI alongside other options internally.)

6. No warranties; documentation may change

The Documentation is provided “as is” for convenience and may contain errors or omissions. We do not guarantee that the Documentation is complete, current, or error‑free.

We may update, replace, or remove Documentation at any time as our products evolve.

7. Your responsibility and safe use

You are responsible for how you implement and use anything described in the Documentation, including ensuring it meets your product requirements, customer obligations, and any applicable laws or regulations.

Where the Documentation includes UI wireframes/storyboards, they are reference patterns to accelerate implementation. You remain responsible for your final UX decisions, end-user communications, and operational controls.

8. Limitation of liability

To the maximum extent permitted by law:

  • SolvedBy.AI will not be liable for loss of profits, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings, or any indirect or consequential losses arising out of or in connection with the Documentation or your use of it (including your reliance on it).
  • SolvedBy.AI’s total aggregate liability arising out of or in connection with the Documentation (whether in contract, tort, or otherwise) will be limited to the greater of (a) fees paid by you to SolvedBy.AI in the 12 months before the event giving rise to the claim, or (b) US$1,000.

Nothing in these terms limits liability for fraud or other liability that cannot be excluded by law.

9. Intellectual property

SolvedBy.AI (and/or its licensors) retains all intellectual property rights in:

  • the Documentation, and
  • the SolvedBy.AI services, models, and systems the Documentation describes.

For clarity: most of SolvedBy.AI’s proprietary value is in the underlying services and models that run behind the API—not in the documentation itself.

10. Feedback

If you provide feedback or suggestions about the Documentation (or how to improve it), you grant SolvedBy.AI the right to use that feedback without restriction or obligation, including to improve our partner enablement materials.

11. Termination

These terms remain in effect until terminated. We may terminate or suspend your access to the Documentation immediately if you breach these terms.

On termination, you must stop using the Documentation and delete any copies you control (except where retention is required by law).

12. Governing law and jurisdiction

These Documentation Access Terms and any dispute or claim arising out of or in connection with them (including non‑contractual disputes or claims) are governed by the laws of England and Wales. The parties agree that the courts of England and Wales shall have exclusive jurisdiction.
